These Terms and Conditions govern the use of the Niran Sethi website and the advisory services offered by Niran Sethi Consulting Co., Ltd. 1 Definitions
"Company", "We", "Us", "Our" refers to Niran Sethi Consulting Co., Ltd., 55 Sathorn Soi 10, Yan Nawa, Sathon, Bangkok 10120, Thailand.
"Service" refers to the business advisory and consulting services offered by the Company, including Business Health Diagnostic, Partnership Development Advisory, and Enterprise Transformation Counsel.
"User", "You", "Client" refers to any individual or organisation accessing this website or engaging the Company's services.
"Agreement" refers to these Terms and Conditions together with any signed engagement letter or scope document.
"Content" refers to all text, reports, frameworks, tools, and other materials produced by the Company in connection with a service engagement.
2 Acceptance of Terms
By accessing this website or submitting a contact enquiry, you confirm that you have read and agree to be bound by these Terms and Conditions. By entering into a service engagement with us, you further confirm that you have the authority to do so on behalf of your organisation.
Our services are directed at business professionals and organisations. Users must be at least 18 years of age and have the legal capacity to enter into binding agreements. We do not provide services to individuals acting in a purely personal or consumer capacity.
3 Service Description and Availability
We offer three advisory service frameworks: the Business Health Diagnostic (2-week engagement), Partnership Development Advisory (6-week engagement), and Enterprise Transformation Counsel (20-week engagement with 12 months of follow-up). Services are available to organisations operating in Thailand and the broader ASEAN region. We reserve the right to decline an engagement at our discretion, including where a conflict of interest exists that cannot be appropriately managed.
Website availability is provided on a reasonable-efforts basis. We do not warrant uninterrupted access and accept no liability for downtime.
4 User Responsibilities and Acceptable Use
Users of this website agree not to engage in any of the following:
- Attempting to access systems or data without authorisation
- Submitting false or misleading information via the contact form
- Using the website in any way that could cause damage or impair its functionality
- Reproducing or distributing website content without prior written consent
- Using automated tools to scrape or harvest content from this website
Clients engaging our services are also responsible for providing accurate information necessary for the engagement, making relevant personnel available as required by the agreed scope, and honouring payment terms as agreed.
5 Intellectual Property
All website content — including text, design, and structural elements — is the intellectual property of Niran Sethi Consulting Co., Ltd. and is protected under applicable Thai and international copyright law.
Deliverables produced specifically for a client engagement (such as diagnostic reports, evaluation matrices, and roadmaps) are provided for the client's internal business use under a limited, non-exclusive, non-transferable licence. General methodologies, frameworks, and tools developed by the Company remain the Company's intellectual property.
Clients may not reproduce, share, or commercialise engagement deliverables for purposes outside their own organisation without prior written consent from the Company.
6 Payment Terms
Service fees are as published on our Solutions page and denominated in Thai Baht (฿). Payment schedules are agreed in the engagement letter. Standard terms require a deposit of 40% upon engagement commencement, with the remainder invoiced according to milestones or at engagement close.
Payment is accepted by bank transfer to a Thai bank account. Invoices are issued in Thai Baht. For international clients, currency conversion costs are the client's responsibility.
Invoices not settled within 30 days of issuance may attract a late payment fee of 1.5% per month on the outstanding amount. Where a scope change is agreed during an engagement, a revised fee schedule will be issued and agreed in writing before additional work proceeds.
Refunds are not available once an engagement has commenced, except where the Company is unable to deliver the agreed scope due to its own fault. In such cases, a pro-rata refund will be calculated based on work completed.
7 Service Delivery Terms
The scope of each engagement is defined in a written scope document agreed before commencement. Timelines indicated in service descriptions are standard; actual timelines are confirmed in the engagement letter and may vary by agreement.
Changes to engagement scope requested by the client after commencement will be assessed and, if agreed, documented as a scope amendment with any associated fee adjustment. The Company reserves the right to adjust timelines if client availability or information provision does not meet agreed requirements.
The Company will maintain appropriate confidentiality regarding all client information encountered during an engagement. A mutual confidentiality agreement is signed at the outset of every engagement.
8 Disclaimers
Our advisory services are provided on the basis of the information available at the time of the engagement and represent considered professional judgement, not absolute direction. We do not warrant specific business outcomes, financial results, or the successful implementation of any recommendation.

We do not accept liability for decisions made by clients based on advisory work delivered, except to the extent that such liability arises from our own negligence or wilful misconduct.
9 Limitation of Liability
To the maximum extent permitted by Thai law, the Company's total liability to any client for any cause of action arising out of or relating to a service engagement shall not exceed the total fees paid by that client in respect of the specific engagement giving rise to the claim.
The Company shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of profit, or loss of opportunity, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable Thai law.
10 Termination
Either party may terminate an engagement by providing 14 days' written notice. Upon termination, the client is responsible for payment of fees corresponding to work completed up to the termination date. Any deliverables completed and transferred to the client prior to termination are subject to the intellectual property terms above.
The Company may terminate an engagement with immediate effect if the client materially breaches these Terms or the engagement agreement and fails to remedy the breach within 7 days of written notice.
11 Dispute Resolution and Governing Law
These Terms and any disputes arising from them are governed by the laws of the Kingdom of Thailand. The parties agree to first attempt to resolve any dispute informally through direct discussion. If a dispute cannot be resolved within 30 days of written notice, it shall be referred to the jurisdiction of the courts in Bangkok, Thailand.
For disputes involving amounts below ฿500,000, the parties agree to first attempt mediation through a mutually agreed mediator before commencing court proceedings.
12 General Provisions
Entire Agreement: These Terms, together with any signed engagement letter, constitute the entire agreement between the parties and supersede all prior communications.
Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force.
Waiver: Failure by either party to enforce any right under these Terms shall not constitute a waiver of that right.
Assignment: Clients may not assign their rights or obligations under an engagement without the Company's prior written consent.
Force Majeure: Neither party shall be liable for delays or failures caused by circumstances beyond their reasonable control, including natural disasters, government action, or pandemic-related disruption.
13 Changes to These Terms
We may revise these Terms from time to time. The updated version will be posted on this page with a revised "Last Updated" date. For active engagement clients, material changes will be communicated directly. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
